1. Introduction

Welcome to CMR INFRA. By accessing or using our services, you agree to comply with and be bound by the following Terms and Conditions. These terms govern your relationship with CMR INFRA and all activities related to the infrastructure construction projects we undertake, primarily focused on government projects in India.

2. Services Provided

CMR INFRA specializes in providing construction services for infrastructure projects, including but not limited to roads, bridges, buildings, and other civil engineering works for government contracts and private sector projects. All services provided are subject to the terms outlined in these Terms and Conditions.

3. Project Execution

Agreement: All construction services and projects are undertaken only after a formal agreement is executed with the client, including specific terms related to scope, timelines, payment schedules, and deliverables.

Delays and Force Majeure: CMR INFRA will not be held liable for delays caused by factors outside our control, such as natural disasters, labor strikes, or governmental actions. Any changes to the timeline due to such events will be communicated promptly.

4. Payment Terms

Invoicing: Payments for services rendered will be invoiced according to the terms set in the specific project agreement.

Payment Schedule: Payment terms will be outlined in the project-specific contract, including down payments, progress payments, and final payment.

Late Payments: Any overdue payments will incur interest charges as agreed upon in the contract.

5. Client Obligations

Access to Site: The client must provide timely access to the project site and ensure that all required permissions, approvals, and legal documents are in place before project commencement.

Cooperation: The client must ensure that all necessary inputs, information, and decisions are provided promptly to avoid delays in the project.

6. Health, Safety, and Compliance

CMR INFRA is committed to ensuring the safety and well-being of all personnel working on the site. We adhere to all safety regulations and standards as prescribed by the Government of India and other relevant authorities.

7. Confidentiality

Both parties agree to maintain confidentiality of all proprietary, confidential, and sensitive information shared during the course of the project. This includes any technical data, business plans, and financial information.

8. Intellectual Property

All intellectual property rights, including plans, designs, and documents produced by CMR INFRA, are owned by CMR INFRA unless otherwise specified in a separate agreement.

9. Liability and Indemnity

CMR INFRA will perform its services with reasonable skill and care. However, we do not accept liability for losses or damages arising from:

Misuse or improper handling of infrastructure after completion.
External factors affecting project execution, including delays, government changes, and unforeseen events.
Any third-party acts or failures.

The client agrees to indemnify CMR INFRA against any claims, damages, or losses arising due to their actions or negligence.

10. Termination

Either party may terminate the contract under the following conditions:

Breach of contract by either party.
Failure to meet agreed payment schedules.
Insolvency or bankruptcy.

In case of termination, any outstanding dues must be settled promptly.

11. Dispute Resolution

Any disputes arising from these Terms and Conditions or the services provided will be resolved through mutual negotiation. If an agreement cannot be reached, the matter will be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, in India.

12. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes shall be resolved in the jurisdiction of Bangalore, India.

13. Modifications

CMR INFRA reserves the right to modify or update these Terms and Conditions at any time. Any changes will be communicated to the clients and will be effective immediately upon posting on our website or sharing with the client.
